1. Acceptance of Terms

By accessing and using LazyQS, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Description of Service

LazyQS provides tender document analysis for subcontractors. The service includes:

  • Document upload and text extraction
  • Automated document categorisation
  • Trade-specific finding extraction using AI
  • Risk register generation
  • PDF and Excel report exports

3. User Accounts

To use LazyQS, you must create an account using Google or Facebook authentication. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Providing accurate and current information
  • Notifying us immediately of any unauthorized use

4. Subscription and Billing

Free Tier

Every user receives 1 free tender review with basic overview features. Free tier usage is limited to personal, non-commercial evaluation purposes.

Paid Subscriptions

  • Monthly: £49/month, billed monthly
  • Annual: £490/year, billed annually (equivalent to £40.83/month)

Billing Terms

  • Subscriptions automatically renew unless cancelled
  • Payment is processed via Stripe at the start of each billing period
  • No refunds for partial months or unused time
  • Price changes will be communicated 30 days in advance
  • You can cancel anytime; access continues until period end

5. Acceptable Use

You agree not to:

  • Upload malicious, illegal, or copyrighted content you don't have rights to
  • Attempt to reverse engineer, hack, or compromise our systems
  • Use the service for automated scraping or data mining
  • Share your account credentials with others
  • Resell or redistribute our services without permission
  • Upload excessive volumes designed to abuse the service

6. Intellectual Property

Your Content

You retain all rights to documents you upload. By uploading, you grant us a licence to process, analyse, and store your documents solely to provide the service.

Our Platform

LazyQS, including our software, algorithms, design, and branding, is our intellectual property. You may not copy, modify, or create derivative works without permission.

7. Important Disclaimer and Acknowledgement

Automated Processing Limitations

LazyQS uses automated tools to scan, extract and summarise information from the documents you upload. We make every reasonable effort to process all files and highlight the pages, clauses and items relevant to your trade. However, automated extraction is not perfect. Documents may be unclear, scanned, incomplete, incorrectly formatted, or contain content that is missed or misinterpreted.

You Remain Responsible for Your Bid and Review

This is critical: By using LazyQS, you confirm that you will still review the tender and contract documents yourself and you will not rely solely on LazyQS outputs when deciding whether to tender, pricing works, preparing qualifications, or entering into any contract. LazyQS is a convenience tool to help you work faster, not a replacement for your professional judgement.

LazyQS does not provide legal, commercial, contractual, or professional advice. Any summaries, risk flags, or references are provided for convenience only. You should seek appropriate professional advice for legal, contractual, or technical matters.

Limitation of Liability

To the maximum extent permitted by law, LazyQS and its affiliates, directors, employees and suppliers are not liable for any loss, cost, claim, delay or damage arising from your use of the service or reliance on any output, including errors, omissions, or processing failures. This includes (without limitation):

  • Loss of profit or revenue
  • Loss of opportunity or business
  • Loss of contract or failed tenders
  • Any consequential or indirect losses
  • Missed clauses, risks, or requirements in documents
  • Incorrect categorisation or analysis of documents

Data and Confidentiality

You confirm you have the right to upload the documents and that doing so does not breach any confidentiality agreement or third party rights. You are responsible for ensuring you have the necessary permissions before uploading any documents to LazyQS.

8. Data and Privacy

Your use of LazyQS is also governed by our Privacy Policy. We implement security measures but cannot guarantee absolute security. You accept the inherent risks of transmitting data over the internet.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Experience unexpected downtime or technical issues
  • Modify or discontinue features with reasonable notice
  • Impose usage limits to ensure fair access for all users

10. Limitation of Liability

To the maximum extent permitted by law, LazyQS shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding amounts paid to us in the past 12 months
  • Third-party actions or content

11. Termination

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Fail to pay subscription fees
  • Engage in fraudulent or harmful activity
  • Remain inactive for an extended period

You may terminate your account anytime from your account settings. Upon termination, your data will be deleted according to our data retention policy.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or platform notification. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
